Project Description: See footnote 1: On December 19, 2000 the Agency entered into a corporate retention transaction with the Company, National Association of Securities Dealers, Inc ('NASD') and American Stock Exchange LLC ('AMEX' and collectively with NASDAQ and the Company, the 'Companies') which at that time were affiliated corporations. Whereas, as a result of the Divesture by NASD of its interests in AMEX and the Company, NASD, the Company and AMEX have requested that the reamining benefits to be provided by the Agency and collectively available to the Company, AMEX and NASD be allocated separately to each of the Company, AMEX and NASD and that recapture, Forfeiture and other provisions of the existing agreements among the Agency and the Companies be amended to bind the Company, NASD and AMEX severally, rather than jointly.
