Project Description: On December 19, 2000 the Agency entered into a corporate retention transaction with the Company, National Association of Securities Dealers, Inc (NASD) and American Stock Exchange LLC (AMEX and collectively with NASDAQ and the Company, the Companies) which at that time were affiliated corporations. Pursuant to said coporate retention transaction and in accordance with the resolution of the Agency dated November 14, 2000 the Agency agreed to provide to the Companies on a collective basis certain exemptions from real property taxes, sales and use taxes, and mortgage recording taxes and the Agency agreed to provide the Companies with a certain capital grant for equipment expenditures and certain energy cost savings.
